Community Terms

Welcome to the Openli Community!

Openli Community is for in-house lawyers and privacy people and is a go-to place for events with leading experts and GCs, in-depth articles, a mentoring program, private Slack channel, a podcast, and much more - all free of charge. We’d love to see Community members sharing their legal know-how, learning from each other and building their professional network.

These Openli Community Terms of Use (“Community Terms”) are the terms that apply to your use of the Openli Community and constitute an Agreement between you and Openli. Community Terms also protect the interests of all our members, as well as our goodwill and reputation.

When signing up for the Openli Community, you are hereby agreeing to these Community Terms.

1.  Definitions

"Openli", "we ","us " or "our " means Openli ApS, DK-39587408, Prags Boulevard 49E, 3rd floor, DK-2300 Copenhagen S, Denmark.

“Openli Community” means the legal community accessible at https://openli.com/community.

"Community Terms” means these Openli Community Terms and all materials referred or linked to here.

“Community Content” means all content, including without limitation, language, data, information, and images, provided through or disclosed by use of the Openli Community, whether by us or other members of the Openli Community. Community Content does not include Your Content.

"Your Content” means all content, including without limitation, articles, blogs, data, information, and images, provided through or disclosed by use of the Openli Community, by you.

“Community Guidelines” means the policies applicable to members of the Openli Community which may be published on our website.

"Third-Party Products" means products and services that are provided by third parties which may be used in connection with the Openli Community.

"Third-Party Sites" means third-party websites linked from within, accessed through the Openli Community, or domains that host Openli Community.

2.  Access to the Openli Community

We will provide you access to use the Openli Community according to these Community Terms. We may use Third-Party services to provide some elements of the Openli Community.  

All information you provide in your Openli Community application and profile must be accurate and you must provide your real name and a functioning email address when signing up.

If you believe your access to or use of the Openli Community has been breached, compromised, or unauthorized, notify us immediately at communmity@openli.com.

3.  Your Obligations and Content

3.1.  Usage Guidelines.  You must review and follow the Community Guidelines. We may change the Community Guidelines from time to time by updating the applicable website. Your use of the Openli Community is subject to the Community Guidelines, which are incorporated to these Community Terms by reference.

3.2.  Acceptable Use.  You will use the Openli Community for its intended purpose only, and will not use it for advertising purposes, unless we otherwise agree.

The Openli Community is meant for public discussion, so you must not disclose anyone's private or confidential information. You are not permitted to sell, rent, lease, assign, sublicense, distribute, transmit, broadcast, commercially exploit, grant a security interest in, or otherwise transfer any right in the Openli Community or Community Content. In addition, and without limiting the other requirements in these Community Terms you must not (directly or indirectly) use the Openli Community with content, or in a manner that:

  • is in violation of these  Community Terms;
  • is confidential, proprietary or discloses sensitive information;
  • discloses the private information of other person (unless that person has given consent);
  • is threatening, abusive, harassing, stalking, or defamatory;
  • is deceptive, false, misleading or fraudulent;
  • is invasive of another's privacy or otherwise violates another’s legal rights (such as rights of privacy);
  • contains vulgar, obscene, indecent or unlawful material;
  • infringes a third party's intellectual property right(s);
  • publishes, posts, uploads, or otherwise distributes any software, music, videos, or other material protected by intellectual property laws (or by rights of privacy or publicity) unless you have all necessary rights and consents to do so;
  • uploads files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another person's computer;
  • harvests or otherwise collects information about others, including e-mail addresses, without their consent; and/or
  • is in violation of any applicable law or regulation.

3.3.  Suspension and Notice of Violations. We may immediately suspend your use of the Openli Community, incl. Access to the member portal, the Slack channel etc.  without notice, for actual or suspected violations of these Community Terms.  If you know of usage that is in violation of these Community Terms, please let us know by contacting us at community@openli.com.

3.4.  Claims of Copyright Infringement.  We ask our members to respect intellectual property rights. We may, in our sole discretion, suspend the access or terminate the accounts of members’ who violate others' intellectual property rights.  

3.5.  Our Use of Your Content. If you write blogs, articles, presentations, ask questions in the Slack channel etc. you grant to us the rights, license and permission necessary to display, reproduce, disseminate, and otherwise use Your Content in connection with the Openli Community.  We may edit or remove Your Content, or block or disable replies on a topic, at any time in our sole discretion. You also grant us the rights to re-use Your Content to market and promote the Your Content on social media platforms, e.g on Linkedin, e.g. via Openli’s Linkedin Profile and also on our website, in public or private presentations, press releases and interviews, or in connection with our marketing and other publicity efforts.

4.  Openli’s Proprietary Rights

We retain all ownership rights in Openli software and trademarks. During the term of your membership, you may use our trademarks as long as you follow the usage requirements in this section and the incorporated guidelines. You must: (i) only use the images of our trademarks that we make available to you for use as part of your participation in the Opneli Community, without altering them in any way; (ii) only use our trademarks in connection with these  Community Terms and (iii) immediately comply if we request that you discontinue use.

You must not use any of our trademarks: (a) in a misleading or disparaging way; (b) outside the scope of the Openli Community; (c) in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material.

5.  Third-Party Sites and Products

Third-Party Products and Third-Party Sites are not under our control. Third-Party Sites and Products are provided to you only as a convenience, and it does not mean we endorse, support or warranty the Third-Party Site or Product.

6.  Privacy

Your use of the Openli Community is subject to Openli’s Privacy Policy, available at https://openli.com/legal/privacy-policy. We will process your data in accordance with the policy, see the section in the privacy policy related to the Openli Community.  

7.  Price

Access to the Openli Community is free.

8.  Term and Termination

8.1.  Term.  These  Community Terms will apply for as long as you use or maintain a membership for the Openli Community.

8.2.  Termination and Suspension.  We may terminate and/or suspend your access to the Openli Community immediately if you: (i) violate these Community Terms, (ii) use the Openli Community in a way which has or may negatively reflect on or affect us or other members, or (iii) if we determine it to be necessary in our sole discretion.  We are not obligated to provide you with any of Your Content used in connection with the Openli Community after termination.

9.  Your Representations and Warranties

You represent and warrant that: (i) you have sufficient rights to share all Your Content with us for our use and with other members of the Openli Community, and that you are not violating any confidentiality obligations by submitting Your Content, and (ii) that Your Content does not violate or constitute the infringement of any intellectual property right, right of privacy, right of publicity or other proprietary right.

10.  Indemnification

You will indemnify, defend and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an "Action") brought against us by a third party to the extent that such Action is based upon or arises out of (a) your use of the Openli Community, (b) your disclosure of personal information, (c) any use of personal information that you disclosed, whether this use is by you or a third party, (d) your breach of these  Community Terms, or (e) your use of Third-Party Sites or Third-party products.

11.  Disclaimers; Limitations of Liability

11.1.  WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY OR ACCURACY OF THE OPENLI COMMUNITY OR THE COMMUNITY CONTENT FOR ANY PURPOSE. TO THE EXTENT PERMITTED BY LAW, THE OPENLI COMMUNITY IS PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO THE OPENLI COMMUNITY AND THE COMMUNITY CONTENT, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

11.2.  TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES.

11.3. IF, NOTWITHSTANDING THE OTHER TERMS OF THESE COMMUNITY TERMS, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO DKK 100.

11.4.  WE DISCLAIM ALL LIABILITY WITH RESPECT TO THIRD-PARTY SITES THAT YOU USE. OUR LICENSORS SHALL HAVE NO LIABILITY OF ANY KIND UNDER THESE COMMUNITY TERMS.

YOU UNDERSTAND AND AGREE THAT ABSENT YOUR AGREEMENT TO THIS LIMITATION OF LIABILITY, WE WOULD NOT PROVIDE THE OPENLI COMMUNITY TO YOU.

12.  General

12.1.  Amendment. We may update and change any part or all of these Community Terms. If we update or change the Community Terms, the updated terms will be posted on the Openli website. We encourage you to review these Community Terms periodically.

Any material changes to the Community Terms must be notified in writing to Community members with at least one (1) month ahead of such amendment coming into effect. The latest applicable version will be available on Openli’s website(s) https://openli.com/legal.

If you do not agree with a modification to these Community Terms, you should not use the Openli Community.

12.2.  Compliance with Applicable Laws. You shall comply with all applicable laws and regulations.

12.3.  Severability. If any part of these Community Terms is determined to be invalid or unenforceable by applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Community Terms will continue in effect.

12.4.  Notices. You can send notices to to community@openli.com.

To you: your email address as provided in our member account information and that’s why it’s always important that you provide us with an email that you regularly check.

12.5.  Entire Agreement. These Community Terms constitute the entire agreement between you and us for Openli Community and supersedes all other proposals and agreements, whether electronic, oral or written, between us. It is the express wish of both you and us that these Community Terms and all related documents be drawn up in English.

12.6.  Community Guidelines. We may introduce and change the Community Guidelines from time to time and make them available on our website.

12.7.  No Licenses. We grant to you only the rights and licenses expressly stated in these Community Terms, and you receive no other rights or licenses with respect to us, the Openli products and services, our trademarks, or any other property or right of ours.

12.8.  Survival. The following sections shall survive the expiration or termination of these Community Terms: ‘Openlit’s Proprietary Rights’, ‘Your Representations and Warranties’, ‘Indemnification’, ‘Disclaimers; Limitation of Liability’, and ‘General’." add the following after "General", "Governing law and venue".

13.  Governing law and jurisdiction

13.1. The Community Terms and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with Danish law.

13.2. Each party irrevocably agrees that the city court of Copenhagen in the first instance shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with the Community Terms or its subject matter or formation (including non-contractual disputes or claims).
